I. Acceptance and eligibility
Please read these Terms carefully. Your use of specific features may also be subject to supplemental terms we present when you enable those features ("Supplemental Terms"). If Supplemental Terms conflict with these Terms for that feature, the Supplemental Terms control for that feature. Together, these Terms and any Supplemental Terms are the "Agreement."
1. Revisions
We may update the Agreement from time to time. When we do, we will post the updated Terms on the Service and revise the "Last Updated" date above. Changes take effect when posted for new users, and on the stated effective date for existing users, unless a later date is specified. If you do not agree to changes, you must stop using the Service. Continued use after the effective date constitutes acceptance.
2. Eligibility
You must be at least 18 years old to create an account or use the Service. By using the Service you represent that you meet this requirement, have not been previously banned, and will use the Service in compliance with applicable law.
II. The Service
1. What Soundhiver is
Soundhiver is a trust infrastructure for music collaboration in India. The Service helps creators and collaborators:
- Discover people by craft, genre, and verified work
- Briefs and HiveMind matching (poster shortlists and seeker fit)
- Sessions: private work rooms for collaboration
- Credits: verified professional records from locked roles
- Craft: supply-side offers for services
Soundhiver is a professional collaboration platform, not a consumer streaming service or generic bidding marketplace. Platform fees and escrow rails may apply to completed paid work as described on the Service and in Section VI. Soundhiver does not employ creators as employees by virtue of these Terms, and does not fund creator wages out of platform capital.
2. Soundhiver Property
The Service is owned and operated by Soundhiver. Visual interfaces, design, software, trademarks, documentation, and other materials we provide ("Soundhiver Property") are protected by intellectual property and other laws. You may use Soundhiver Property only as authorised in the Agreement. All rights not expressly granted are reserved.
3. Licence to use the Service
Subject to the Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal or internal business purposes related to music creation and collaboration. Any other use requires our prior written consent.
4. Beta and experimental features
We may offer beta or experimental features. They are provided as-is, may change or end without notice, and may be subject to additional rules shown in-product.
5. Updates
We may update the Service (including requiring you to accept updates) with or without prior notice. You are responsible for obtaining compatible devices, software, and network access, and for related fees.
III. Accounts
1. Registration
Certain features require an Account. You must provide accurate, current, and complete information and keep it updated. You may not use a username that impersonates another person, infringes rights, or is offensive. We may reject, reclaim, or change usernames.
2. Credentials and security
You are responsible for safeguarding login credentials and for activity under your Account. Notify us immediately at support@soundhiver.com if you suspect unauthorised use. We are not liable for losses from unauthorised access resulting from your failure to protect credentials.
3. No ownership of Accounts
You have no ownership or property interest in your Account. You may not sell, licence, or transfer your Account without our prior written consent.
4. Suspension and bans
We may suspend or terminate Accounts that violate the Agreement, applicable law, or that create risk to other users or the Service, with or without prior notice where reasonably necessary.
IV. User content and licences
1. Your content
"User Content" means content you submit, upload, post, transmit, or otherwise make available through the Service, including profile information, briefs, interests, messages, session files and notes, craft offers, portfolio materials, proof clips, and similar materials.
You retain ownership of your User Content, subject to licences granted below and to any rights of collaborators or third parties in joint works. You are solely responsible for User Content and for obtaining all rights, clearances, and consents needed to use and share it on the Service.
2. Licence to Soundhiver
You grant Soundhiver a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, reproduce, adapt (for technical formatting), display, perform, distribute, and otherwise use User Content solely as needed to operate, provide, secure, improve, and promote the Service (including showing public profile and credit information you choose to make public). This licence ends when you delete the applicable User Content or your Account, except that (a) residual copies may remain in backups for a limited period, (b) content shared with others may persist in their accounts or Sessions as needed for those features, and (c) Credits and other records we are required or reasonably entitled to retain for trust, dispute, tax, or legal purposes may persist as described in the Privacy Policy.
3. Feedback
If you send ideas or suggestions about the Service ("Feedback"), you grant Soundhiver an unrestricted, perpetual, irrevocable, worldwide, royalty-free licence to use Feedback for any purpose without obligation to you.
4. Representations
You represent and warrant that:
- You own or control all rights in User Content necessary for the licences above
- User Content does not infringe, misappropriate, or violate any third-party right or law
- User Content is not unlawful, defamatory, fraudulent, or otherwise prohibited under Section VIII
V. Intellectual property
1. Soundhiver Marks
"Soundhiver", "Join Hive", "HiveMind", logos, and related names and marks are trademarks or trade dress of Soundhiver (the "Marks"). You may not use the Marks without our prior written permission, except for accurate, non-misleading factual references to the Service.
2. Your music and collaborator rights
Nothing in these Terms transfers ownership of your original musical works, sound recordings, or performances to Soundhiver. Collaboration among users may create joint ownership or contractual obligations under separate agreements between those users. Soundhiver is not a party to those agreements unless we expressly agree in writing.
3. No scraping or reverse engineering
Except as allowed by mandatory applicable law, you may not copy, scrape, reverse engineer, or create derivative works of Soundhiver Property or non-public data obtained from the Service.
VI. Briefs, Craft, and payments
1. Briefs
Briefs are demand-side postings for creative work. HiveMind may surface ranked shortlists for posters and ranked briefs for seekers. Matching signals are tools, not guarantees of hire quality, availability, or outcome. Poster and seeker remain responsible for their own hiring decisions.
Unless otherwise stated on the Service, for Brief-path paid work the poster is the payer and the selected creator is the payee.
2. Craft
Craft listings are supply-side offers. Unless otherwise stated, for Craft-path paid work the buyer is the payer and the provider is the payee. Listings must be accurate and lawful.
3. Platform role
Soundhiver provides discovery, workflow, and (where enabled) payment or escrow rails and may charge platform fees disclosed at the time of the relevant transaction or plan. Soundhiver is not the employer of users, is not a party to creative services contracts between users unless expressly stated, and does not guarantee work, payment by counterparties, or artistic results.
4. Fees, billing, and Razorpay
You agree to pay fees shown at purchase or subscription time. Payments may be processed by Razorpay or other processors we designate. Your use of a payment method is also subject to the processor's terms. Prices may change prospectively with notice where required. Taxes (including GST where applicable) may be added as required by law.
Except where mandatory law requires otherwise, or where we expressly state a refund policy for a product, fees are non-refundable once charged. Chargebacks made in bad faith may result in suspension.
5. Plans and limits
Free and paid plans may limit posting volume, listings, or other usage as described on Pricing or in-product. We may change plan features prospectively with notice.
VII. Sessions and Credits
1. Sessions
Sessions are private work rooms for collaboration. Users in a Session are responsible for what they upload, share, and agree among themselves (including splits and delivery). We may provide tools for versions, notes, and role assignment. We do not supervise creative work and are not liable for disputes among Session participants, except to the limited extent we choose to offer optional dispute tooling.
2. Credits
Credits are verified professional records associated with locked roles and related Session outcomes, as implemented on the Service. Credit count reflects experience signals, not a warranty of artistic quality. Proof clips and Session notes tied to Credits, where offered, are encouraged trust signals. Star-style review walls are not the primary trust model.
You must not fabricate, manipulate, or misrepresent Credits, roles, or proof materials. We may correct, withhold, or remove Credits that we reasonably believe are inaccurate, abusive, or obtained through violation of the Agreement.
VIII. Acceptable use
You must use the Service in compliance with applicable law. You shall not:
- Interfere with security features, or reverse engineer the Service except as mandatory law permits
- Upload malware, spam, or unsolicited advertising, or disrupt networks or other users' enjoyment of the Service
- Impersonate others, misrepresent affiliation, or commit fraud
- Harass, threaten, or post content that is unlawful, pornographic where prohibited, hateful, or otherwise objectionable under Indian law
- Infringe intellectual property, privacy, publicity, or other rights of others
- Scrape or harvest data with bots or similar tools, except public search engine indexing we expressly allow
- Use the Service to train generative AI or similar models on another user's content without that user's rights and authorisation, or on Soundhiver Property without our written consent
- Resell or commercially exploit access to the Service except as expressly allowed
- Circumvent plan limits, payment obligations, or access controls
- Assist others in doing any of the above
Unauthorised use may terminate licences granted under the Agreement and may lead to Account action and legal remedies.
IX. Communications
By creating an Account or providing contact details, you agree we may send operational messages about your Account and the Service (security, billing, Session activity, and similar). We may also send product updates or promotional messages where permitted by law. You can opt out of promotional email using the unsubscribe link in those messages. Operational messages may still be sent as needed to provide the Service.
X. Third-party services
The Service may integrate or link to third parties, including payment processors (such as Razorpay), authentication providers, hosting, analytics, and email infrastructure. Those services are governed by their own terms and privacy policies. Soundhiver is not responsible for third-party services we do not control. Your dealings with other users are solely between you and them.
We are not obliged to mediate user disputes, but we may, at our discretion, review reports of Agreement violations.
XI. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND SOUNDHIVER PROPERTY ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT RESULTS (INCLUDING MATCHING, CREDITS, OR HIRING OUTCOMES) WILL MEET YOUR EXPECTATIONS.
You access content and interact with other users at your own risk. No advice obtained from us creates any warranty not expressly stated in the Agreement.
Nothing in these Terms excludes liability that cannot be excluded under Indian law, including liability for fraud or other non-excludable obligations under the Consumer Protection Act, 2019 where it applies.
XII. Liability and indemnity
1. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOUNDHIVER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THE AGREEMENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THE AGREEMENT IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO SOUNDHIVER FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE CLAIM, AND (B) INR 8,000.
2. Indemnity
You will indemnify and hold harmless Soundhiver and its affiliates, officers, employees, and agents from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Service; (c) your violation of the Agreement or law; (d) your infringement of third-party rights; or (e) disputes between you and other users or third parties. We may assume exclusive defence of any matter subject to indemnification; you will cooperate.
XIII. Term and termination
The Agreement begins when you accept it or first use the Service and continues until terminated. You may stop using the Service and request Account closure by contacting support@soundhiver.com. We may suspend or terminate access for breach, risk, legal requirement, or discontinuation of the Service.
On termination, your licence to use the Service ends. Provisions that by nature should survive (including ownership, licences as needed for residual operation, disclaimers, limitations, indemnity, and dispute terms) survive termination.
XIV. Complaints and takedown
Soundhiver hosts User Content and, to the extent applicable, operates as an intermediary under the Information Technology Act, 2000 and applicable rules, including intermediary due-diligence obligations. We may remove or disable access to content that we reasonably believe violates the Agreement, law, or third-party rights, or as required by competent authority.
If you believe content on the Service infringes your copyright or other IP rights, send a notice to support@soundhiver.com and grievance-officer@soundhiver.com including:
- Your name, address (if available), telephone number, and email
- Identification of the protected work and the allegedly infringing material (URL or location)
- A statement of your good-faith belief that the use is not authorised
- A statement that the information is accurate and that you are the owner or authorised to act
- Your physical or electronic signature
Knowingly false notices may result in liability. We may share notices with the affected user and follow a counter-notice process where appropriate.
XV. Governing law and disputes
The Agreement and any dispute arising out of or relating to it or the Service are governed by the laws of India, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to any mandatory consumer rights, the courts at Gautam Buddha Nagar, Uttar Pradesh, India (the district covering Greater Noida) shall have exclusive jurisdiction over disputes arising out of or relating to the Agreement. Before filing a claim, you agree to attempt good-faith resolution by emailing support@soundhiver.com with a short description of the issue.
XVI. General
- Electronic communications. You consent to receive Agreement-related notices electronically (including email and in-product notices).
- Assignment. You may not assign the Agreement without our consent. We may assign to an affiliate or successor.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Severability and waiver. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver.
- Entire agreement. The Agreement is the entire agreement between you and Soundhiver regarding the Service and supersedes prior discussions on that subject.
- Language. The Agreement is in English.
- Export and sanctions. You may not use the Service in violation of applicable export control or sanctions laws.
